2. Client Responsibilities

2.1 Information Provision

Clients are responsible for providing complete and accurate information about facility requirements, including special protocols, chemical restrictions, equipment sensitivities, security procedures, and any hazards or special conditions that may affect service delivery.

2.2 Access and Cooperation

Clients agree to provide appropriate access to facilities during agreed service times, ensure necessary security clearances are in place, and cooperate with our team to facilitate effective service delivery. Clients are responsible for notifying building management or security personnel about scheduled service times.

2.3 Payment Obligations

Clients agree to pay for services according to the payment terms specified in their service agreements. Payment obligations include timely payment of invoices, maintenance of valid payment information, and notification of any billing disputes within reasonable timeframes.

2.4 Safety and Compliance

Clients are responsible for maintaining safe facility conditions and complying with applicable health and safety regulations. Clients must notify us of any unsafe conditions, emergency situations, or circumstances that may affect our ability to provide services safely and effectively.

3. Liability and Warranties

3.1 Service Warranty

We warrant that our services will be performed with reasonable care and skill in accordance with professional industry standards. However, we make no guarantees about specific outcomes or results, as service effectiveness depends on facility conditions, environmental factors, and circumstances beyond our complete control.

3.2 Website Disclaimer

Our website and its content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of website information. We do not warrant that our website will be uninterrupted, error-free, or free from viruses or other harmful components.

3.3 Limitation of Liability

To the maximum extent permitted by Myanmar law, Thant Zin Clear shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including loss of profits, data, or business opportunities.

3.4 Liability Cap

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for services during the six months preceding the claim. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

3.5 Insurance Coverage

We maintain professional liability insurance appropriate to our operations. However, clients are encouraged to maintain their own property and liability insurance. Our insurance coverage does not extend to client property damage resulting from pre-existing conditions, improper facility maintenance, or circumstances beyond our reasonable control.

4. Indemnification

You agree to indemnify, defend, and hold harmless Thant Zin Clear, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms and Conditions
• Your violation of any applicable laws or regulations
• Your provision of inaccurate or misleading information
• Unsafe facility conditions not disclosed to our team
• Your violation of the rights of third parties
• Unauthorized use of our services or intellectual property

This indemnification obligation shall survive termination of any service agreement and shall apply to claims arising during or after the period of service delivery.

5. Dispute Resolution

5.1 Informal Resolution

In the event of any dispute or claim arising from these terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate informal resolution by providing written notice to the other party describing the nature of the dispute.

5.2 Mediation

If informal negotiations do not resolve the dispute within thirty days, the parties agree to attempt mediation through a mutually acceptable mediator before pursuing formal legal action. The costs of mediation shall be shared equally between the parties unless otherwise agreed.

5.3 Legal Proceedings

If mediation is unsuccessful or inappropriate for the nature of the dispute, either party may pursue legal remedies. Any legal proceedings shall be conducted in the courts of Myanmar in accordance with Myanmar law.

5.4 Equitable Remedies

Nothing in these dispute resolution provisions shall prevent either party from seeking injunctive relief or other equitable remedies in cases involving intellectual property infringement, breach of confidentiality, or other matters requiring immediate legal action.

6. Governing Law and Jurisdiction

6.1 Applicable Law

These Terms and Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of Myanmar, without regard to conflict of law principles.

6.2 Jurisdiction

The courts of Myanmar shall have exclusive jurisdiction over any disputes arising from these terms or your use of our services. By using our website or engaging our services, you consent to the jurisdiction of these courts.

6.3 International Users

If you access our website from outside Myanmar, you acknowledge that you are doing so on your own initiative and are responsible for compliance with local laws in your jurisdiction. Our services are intended for delivery within Myanmar.

7. Severability and Waiver

7.1 Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

7.2 Waiver

Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or our right to enforce it in the future. No waiver shall be effective unless made in writing and signed by an authorized representative of Thant Zin Clear.

8. Assignment and Transfer

You may not assign, transfer, or delegate your rights or obligations under these Terms and Conditions without our prior written consent. We may assign or transfer our rights and obligations under these terms to any successor entity in connection with a merger, acquisition, or sale of assets.

Any attempted assignment by you in violation of this provision shall be void and of no effect.

9. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific service agreements you enter into, constitute the entire agreement between you and Thant Zin Clear regarding your use of our website and services.

These terms supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, regarding the subject matter herein.

10. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. When we make changes, we will update the "Last Updated" date at the top of this page and may notify active clients through our regular communication channels.

If you do not agree with modified terms, your sole remedy is to discontinue use of our website and, for existing clients, to terminate your service agreement in accordance with its provisions.
